Terms of Service

Welcome to Tylio! Tylio’s products and services are offered to you by Tylio inc. (hereafter “Tylio”, “we”, “our”, “us”). These Terms of Service (hereafter “Terms”) govern your access to and use of Tylio’s Websites, products and other services developed by us (hereafter “Products”). By accessing or using our Products, you agree to be bound by these Terms and by our Privacy policy, including any amendments that may be made to them, if any. So, please read them carefully before using Tylio’s Products and contact us if you have any questions. If you do not agree to be bound by these Terms, do not use Tylio’s Products.

  1. Using of Tylio
    1. Binding terms for all users

      You may use our Products only if you can form a binding contract with Tylio, and only in compliance with these Terms and all applicable laws. Any use or access by anyone under the age of 13 is prohibited.

    2. Account
      1. Conditions

        In order to enjoy some features of the Products, you will need to create an account that ties your activities to yourself, protects your work and keeps you liable in terms of law.

        It is possible to connect to our products directly with standalone credentials kept on our servers or by using an external account (Facebook, Google, Twitter, etc) which allows the user to leverage existing credentials from another service. Using multiple external accounts to login to a Tylio account is accepted and does not create multiple Tylio accounts.

        You may never use another person's account without permission.

        A stale account might be suspended after 2 years (730 consecutive days) without a successful login to that account. Content shared from a stale account and referenced by other user accounts or Tylio’s Products themselves (forums, marketing, etc ) will continue to exist but the owner will not be able to alter it (change, delete, etc) while the account is suspended.

        If you register profile information that is intended to be seen publicly or by restricted groups of users (username, email address, avatar, etc) and that, in our sole discretion, interfere with the rights of a third party or another user, is obscene, indecent, abusive or that might otherwise subject us to public disparagement or scorn, we reserve the right, with notice to you, to automatically change your username to something we deem more appropriate.

    3. Accurate, current, complete and true information

      If we request registration information from you, you must provide us with true, accurate, current and complete information. You must promptly update your registration information if the related details change over time.

    4. Confidentiality

      As outlined in our privacy policy, we take great pride in the protection of all data in our possession by leveraging the best accepted industry standards and practices.

    5. Commercial use and advertising

      In addition to the conditions mentioned in Section 1.1, 1.2 and 1.3., if you open an account on behalf of a company, organization, or other entity, then (a) 'you' includes you and that entity, and (b) you represent and warrant that you are authorized to grant all permissions and licenses provided in these Terms and bind the entity to these Terms, and you agree to these Terms on the entity's behalf. For accounts created on behalf of a company, organization, or other entity, you are responsible for ensuring that only authorized individuals have access to the account.

  2. Our products
    1. Website / App

      Unless otherwise specified, these Terms apply to the use of all of Tylio’s Products including our websites, mobile application and computer software.

    2. Update / Upgrade (Terms apply)

      Our Products include software that is downloaded to your computer, phone, tablet or other electronic device. You agree that we may automatically upgrade those Products, and these Terms will apply to such upgrades.

      1. Modification to the Terms

        Should a software update/upgrade contain a modification to these Terms, the new Terms will be presented to you for approval before consuming our services again. If you refuse the new Terms, you will not be able to access and consume our services anymore.

  3. Content
    1. Mutual License
      1. You can use our content

        Subject to these Terms and our Privacy policy, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use our Products.

        Tylio may terminate or suspend this license at any time, with or without cause or notice to you. Upon termination, you continue to be bound by Sections 3-5 and 7-14 of these Terms.

      2. We can use your content (license you grant)

        You agree that each and every piece of data submitted to our Products, including text, documents and multimedia files, as well as any data created or computed with our Products, are subject to the privacy settings of the Web pages you create using Tylio (hereafter “Tyls”) that make, use or reference them. “Public” settings would render your Content viewable by anyone using the Internet, including any Tylio user.

        Further, you hereby grant Tylio, its affiliates and its users a worldwide, irrevocable, royalty-free, non-exclusive, transferable, sublicensable license to use, store, reproduce, modify, adapt, create derivative works of, publicly perform, publicly display, transfer, transmit, distribute, and publish your Content on Tylio’s Products for the purposes of operating, developing, providing, and using the Tylio’s Products, including without limitation for promoting and redistributing part or all of the Tylio’s Products (and derivative works thereof) in any media formats and through any media channels (including external non-commercial website). This license exists only for as long as you continue to include such Content or use the Products and will terminate at the time you remove or Tylio removes such Content from the Products. However, Tylio and its users may retain and continue to use, store, reproduce, modify, adapt, create derivative works of, publicly perform, publicly display, transfer, transmit, distribute, and publish any of your Content that other users have stored or shared through our Products.

        Nothing in these Terms shall restrict other legal rights Tylio may have to Content, for example under other licenses. We reserve the right to remove or modify Content for any reason we deem fair, including Content that we believe violates these Terms or our policies. Following termination or deactivation of your account, or if you remove any Content from Tylio, we may retain your Content for a commercially reasonable period of time for backup, archival or audit purposes.

    2. Your content, your responsibility
      1. Tights (intellectual property)

        You shall be solely responsible for the Content you post or otherwise make available through our Products. In connection with your Content, you affirm, represent and warrant that you own or have the necessary licenses, rights, consents and permissions to use and authorize Tylio to use all trademark, copyright or other intellectual proprietary rights in and to any and all Content to enable inclusion and use of the Content in the manner contemplated by the Products and these Terms.

        You therefore agree to not transmit to or access from Tylio’s Products any Content that would violate the law or infringe on the intellectual property of any other party.

      2. Data storage

        Tylio partially relies on third party commercial partnerships to power its Products. So considering the “cloud” nature of the resulting infrastructure, we cannot completely limit the geodistribution of our Products with regards to web hosting, backend computing, content distribution and data storage. Consequently, we will distribute our infrastructure to maximize the user experience and the functional requirements and therefore cannot guarantee where each user’s Content will be stored and processed.

      3. You will not…

        In connection with your Content, you further agree that you will not:

        1. Submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Tylio all of the license rights granted herein;
        2. Publish falsehoods or misrepresentations that could damage Tylio or any third party;
        3. Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or the source of software or other material;
        4. Submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate;
        5. Transmit files that contain malware (viruses, worms, Trojans, etc), corrupted files or any other similar data that may damage or adversely affect the operation of another person's computer, our Products, any software or hardware, or telecommunications equipment;
        6. Post advertisements or solicitations of business, unless you have our written consent to do so;
        7. Transmit surveys, pyramid schemes, spam, unsolicited advertising or promotional materials, or chain letters;
        8. Impersonate another person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity;
        9. Collect or store personal information about other end users;
        10. Use, display or frame our Products, the Tylio’s name, trademark, logo or other proprietary information, or the layout and design of any page, without our express written consent.
  4. Copyright policy and infringement claims
    1. Copyright policy

      Tylio does not prior verify nor endorse any Content or any opinion, recommendation, or advice expressed therein, and Tylio expressly disclaims any and all liability in connection with Content. Tylio does not permit copyright infringing activities and infringement of intellectual property rights on its Products and Tylio will remove all Content if properly notified that such Content infringes on another's intellectual property rights. Tylio reserves the right to remove Content without prior notice. Tylio may also terminate a user's access to its Product, if it is determined to be a repeat infringer. A repeat infringer is a user who has been notified of infringing activity more than twice and/or has had a Content removed from the Products more than twice.

    2. Infringement claims

      We will review all complete claims of copyright infringement received and remove content deemed to have been posted or distributed in violation of any such laws. If you are a copyright owner, or are authorized to act on behalf of one, or authorized to act under any exclusive right under copyright, please report alleged copyright infringements taking place on or through the Products by providing us with the following

      1. A physical or electronic signature of the copyright owner or the person authorized to act on its behalf;
      2. A description of the copyrighted work claimed to have been infringed;
      3. A description of the infringing material and information reasonably sufficient to permit Tylio to locate the material (including at a minimum, if applicable, the URL of the link shown on the website where such material may be found, and the reference or link, to the material or activity that you claim to be infringing and information reasonably sufficient to permit us to locate that reference or link, including at a minimum, if applicable, the URL of the link shown on the website where such reference or link may be found);
      4. Your contact information, including your full legal name, address, telephone number, and email;
      5. Both of the following statements in the body of the claim:

        'I hereby state that I have a good faith belief that the disputed use of the copyrighted material or reference or link to such material is not authorized by the copyright owner, its agent, or the law.'

        'I hereby state that the information in this claim is accurate and, under penalty of perjury, that I am the owner, or authorized to act on behalf of the owner, of the copyright or of an exclusive right under the copyright that is allegedly infringed.'

      6. Your signature.

        Claims can be emailed to legal@tyl.io

        Upon receipt of the claim as described above, Tylio will take whatever action, in its sole discretion, it deems appropriate.

  5. Security
    1. Personal / confidential information

      Tylio cares about the security of its users. Your account, your Content and your personal information are things Tylio thrives to protect. However, despite all our efforts to maintain a high standard of protection for our Users, there is always a small risk that malicious actors may somehow get unauthorized access to your Content and account information. With this in mind, we ask that you choose carefully what data you opt to send to our Products.

      To reduce the risk of unauthorized access to your Content, your password shall be set as long and complex as possible and changed frequently.

    2. Accidental vulnerability discovery and proactive disclosure

      In the event of a malfunction or our systems that would reveal to you any form of security vulnerability present in our Products, you agree to inform Tylio with no delay in order to help maintain a high level of security for all our customers.

      You also agree not to engage in any hacking or vulnerability research activity geared towards our products, Content and Users. Such deliberate activities would result in the immediate termination of the offending account.

  6. Third-party links, sites and services
    1. Payment

      Tylio via its Products does not itself process nor store payment data. The PCI-DSS compliance burden is transferred to our trusted payment processing partners.

    2. Other links from Tylio or users

      Our Products may contain links to third-party websites, advertisers, services, special offers or other events or activities that are not owned or controlled by Tylio. Links to third party websites on our Products are provided solely as a convenience to you. Tylio has not reviewed these third party websites and does not control and is not responsible for any of these websites or their content. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services, which you may find objectionable, inappropriate, or offensive. If you access any third party website, service, or content from Tylio’s Products, you do so at your own risk and you agree that Tylio will have no liability arising from your use of or access to any third-party website, service, or content.

    3. Ads and statistical activity tracking

      Cookies and other similar technologies help provide a better, faster and safer experience. Technologies like cookies, pixel tags, and local storage are used to deliver, secure, and understand products, services, and ads, on and off our Products. Your browser or device may allow you to block these technologies, but you may not be able to use some features on our Products if you block them.

  7. Prohibited uses
    1. Use of automated system

      You agree not to use or launch any automated system, including without limitation, 'robots', 'spiders', 'offline readers', etc., that accesses our Products in a manner that sends more request messages to the Tylio servers in a given period of time than a human can reasonably produce in the same period by using a conventional web browser. Notwithstanding the foregoing, Tylio grants the operators of established search engines permission to use indexing software (crawlers) to access material from our Products for the sole purpose of creating publicly available searchable indices of the material, but not caches or archives of such material. Crawlers must respect standard indexing ethics and obey restrictions and guided discovery advertised by our sites with configurations like “robots.txt”. Tylio reserves the right to revoke these exceptions either generally or in specific cases. You agree not to collect or harvest any personally identifiable information, including account names, from the Products, nor to use the communication systems provided by the Products for any commercial solicitation purposes.

    2. Functional abuse

      You agree to use our Products in a reasonable fashion with regards to legitimate functions and functionalities that could, if abused in frequency or volume, impact our service and other users’ experience of our Products by consuming an unfair part of computing resources like network bandwidth or processing Power.

      As a standard protection, Tylio reserves the right to apply mitigation measures such as throttling or rate limiting to accounts displaying abusive behavior. Repeated offenders will see their accounts suspended indefinitely.

    3. Technology underlying our Products

      The technology and the software underlying our Products is the whole property of Tylio. Except as expressly provided in these Terms, you agree not to use, modify, reproduce, distribute, sell, license, or otherwise use our Tyls or other Products without our permission.

    4. Use of content accessed through our Products

      You may showcase multimedia presentations of our Products on other websites for non-commercial use. You may not distribute any Content from the Products without prior written consent from Tylio. Content is the intellectual property of its copyright owner and may not be used for commercial use without explicit permission.

      These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Tylio without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

  8. Disclaimer

    Tylio’s Products are controlled and operated from the province of Quebec, Canada, and we make no representations that they are appropriate or available for use in other locations. Tylio, its affiliate, partners, suppliers and their respective directors, employee, representatives and agents will not be liable for any damages of any kind arising from the use of our Products.

    Without limiting the foregoing, Tylio disclaims any and all responsibility or liability for the accuracy, content, completeness, legality, reliability, or operability or availability of information or material displayed in the Tylio’s Products. Tylio disclaims any responsibility for the deletion, failure to store, to publish adequately, misdelivery, or untimely delivery of any information or material. Tylio disclaims any responsibility for any harm resulting from downloading or accessing any information or material on the Internet through the Products.

    The Products are provided on an “as is” and “as available” basis, with no warranties whatsoever. Tylio expressly disclaims to the fullest extent permitted by law all express, implied, and statutory warranties, including without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement or proprietary rights. Tylio disclaims any warranties regarding the security, reliability, timeliness and performance of the Products.

    You understand and agree that you download or otherwise obtain material or data through the use of the Products at your own discretion and risk and that you will be solely responsible for any damages to your computer system or loss of data results from the download of such material or data. Tylio does not warrant that our Products, their servers, or e-mail sent by us are free of viruses or other harmful components.

    Tylio takes no responsibility and assumes no liability for any Content that you or any other user or third party posts or transmits using our Products. You understand and agree that you may be exposed to Content that is inaccurate, objectionable, inappropriate for children, or otherwise unsuited to your purpose and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Tylio with respect thereto.r

  9. Limitation of liability

    To the full extent permissible by applicable law, Tylio shall not be liable for any kind of damages or losses including, but without limitation, direct, indirect, and punitive damage and loss of profits, loss of data and business interruption, resulting from:

    1. The use you made or your access to the Products;
    2. The conduct or Content posted by another user or any conduct or post of a third party relating to the use of the Products (defamatory, offensive or illegal Content, for examples);
    3. Unauthorized access, use or alteration of your account, your Content or your posted Content.
  10. Indemnity

    You shall indemnify and forever save harmless Tylio and his directors, officers, employees, consultants, agents and suppliers from and against any and all claims, demands, actions, suits, losses, costs, charges, expenses, damages and liabilities (including judicial and extrajudicial fees) which may be incurred by reason of or in connection with (a) your use of the Products, (b) your Content, or (c) your breach of any of these Terms.

  11. Termination

    You acknowledge and agree that Tylio, in its sole and absolute discretion may, without notice to you, suspend or terminate your use of, or access to the Products, for any services and remove and discard any related materials for any reason, including where Tylio believes that you have violated any of these terms. You agree that Tylio shall not be liable to you or to any person as a result of any such suspension or termination. If you are unsatisfied with any of these terms, please discontinue using our Products. Upon termination, you continue to be bound by Sections 3-5 and 7-14 of these Terms.

  12. Dispute resolution and governing law

    By visiting our Products, you agree that the laws of the Province of Quebec and the laws of Canada, without regard to principles of conflict of laws, will govern these Terms of Service. For any claim, cause of action or dispute you have with us arising out of or relating to these Terms of Service or of the use of our Products, the courts of the Province of Quebec shall have exclusive jurisdiction to the exclusion of any other. You agree that jurisdiction and venue in such courts is appropriate and you agree to submit to the jurisdiction of such courts.

  13. Policies, modifications, and severability

    Please review our other policies, such as our Privacy policy, posted on the tylio.com site. These policies also govern your use of Tylio’s Products. We reserve the right to make changes to our Products, policies, and these Terms of Service at any time. Any changes or revisions will be effective immediately upon their posting on tylio.com. Your use of our Products will be subject to the version of the Terms of service posted on this site at the time of such use. Accordingly, you are advised to review the Terms of Service prior to using our Products. Your continued use of our Products following the posting of any changes or revisions will constitute your acceptance of such changes or revisions. If you do not agree to any of the changes or revisions submitted, you shall stop using our Products. If any of these terms shall be deemed invalid, void, or for any reason unenforceable, that term shall be deemed severable and shall not affect the validity and enforceability of any remaining term.

  14. General terms
    1. Notification and notice procedures

      Tylio reserves the right to determine the form and means of providing notifications to you, and you agree to receive legal notices electronically if we so choose.

    2. Entire agreement

      These Terms of Service together with Tylio’s Privacy policy constitute the complete and entire agreement between you and Tylio pertaining to the use of Tylio’s Products and supersede any prior agreements, whether written or oral.

    3. Waiver

      Tylio will not be considered to have waived any of its rights or remedies described in these Terms unless the waiver is in writing and signed by Tylio. No delay or omission by Tylio in exercising its rights or remedies will impair or be considered as a waiver of its rights to enforce such rights at any time.

Privacy policy

  1. Introduction

    Tylio takes great pride at safeguarding your privacy.

    Therefore, we thrive to maintain the most extensive transparency with regards to how we handle your personal information.

    The objective of this privacy policy is to explain very simply what we may collect about you through your usage of our Products, why we collect this information and how we engage in its safe and responsible use.

  2. Binding

    Tylio takes great pride at safeguarding your privacy.

    This Privacy policy governs your overall use of Tylio’s Website, products and other services developed by us (hereafter the “Products”).

    By accessing or using our Products, you agree to be bound by the most recent version of this privacy policy available at tylio.com.

  3. Collection of personal information

    We may deliberately collect and store the following types of personal information:

    1. information provided upon registration within our Products, minimally an email address;
    2. information voluntarily provided when filling-in your user profile inside our Products, such as (but not limited to) your name, gender, date of birth or country of residence;
    3. information provided for the purpose of subscribing to our email communications;
    4. information contained in or related to any communication sent to us or sent through our Products;
    5. any other personal information that you may choose to send to us.
  4. Collection of usage patterns and context data

    While you will be using our Products, we may collect and store technical information related to your communications with our Products, including (but not limited to):

    1. your computer’s IP address as assigned by your internet service provider (ISP)
    2. your browser user-agent (browser type, version, operating system, etc);
    3. Your visit’s referral site (the site that lead you to ours);
    4. Miscellaneous statistics related to your usage of our Products.
    5. Such data is not personal per-se since is does not relate to your person. However, it is good to note that it may reveal details about you that are more specific than what you have chosen to disclose within your profile, such as the city from which you connect to the internet based on your ISP’s public data.

    3rd party analytics services (like Google Analytics) may be used to help us collect and process anonymous usage data in order to improve our services. If you have concerns about the ramifications of this kind of data processing, please contact us.

  5. Use of http “cookies”

    Our Products, like most modern web applications, use http cookies.

    Our cookies will not contain any information that personally identifies you.

    For a secure and consistent web experience, we use both “session” and “persistent” cookies in our Products.

    Some cookies may come from a 3rd party analytics partner as outlined in Section 4.

    Blocking all cookies will have a negative impact upon the usability of many websites, including our Products. As such, you will not be able to use all the features of our Products if you block our cookies.

    Should you have any concern about our deployment of cookies in our Products, please do not hesitate to contact us.

  6. Children's privacy

    Tylio will never knowingly collect or solicit identifiable information from a user known to be under the age of thirteen (13).

  7. 3rd party accounts information sharing with Tylio

    Tylio allows you to connect (log on) to its Products with 3rd party accounts (authentication services) like Facebook, Twitter or Google.

    In order to control what information about you is shared with Tylio by these external authentication services, please review their own privacy policy and your configured settings before using them to connect to our Products.

    Tylio will not and cannot collect the password you use in a 3rd party authentication scheme.

  8. Use of personal information

    We may use your personal information:

    1. to customize and personalize our Products to provide you a better experience;
    2. to send you digital communications which you have either specifically requested or that we deemed may be of interest to you (and from which you can opt out easily);
    3. to send you marketing communications related to Tylio or to carefully-selected partners which we found may be of interest to you (and from which you can opt out easily);
    4. to provide Tylio’s partners with anonymous and aggregated statistical information related to the adoption and usage of our Products;
    5. to deal with enquiries and complaints made by or about you with regards to our Products;
    6. to verify compliance with the terms and conditions governing the use of our Products.

    Our Products provide you with detailed privacy settings that can be used to customize the publication of your information within our Products.

    Tylio will never supply your personal information to any third party for the purpose of their own marketing.

  9. Disclosure of personal information
    1. Legitimate employee duty

      In the course of their business or technical duties, our employees or delegated representatives may come in contact with your personal information. Tylio has strong and strict internal policies to limit such exposure and make sure all user data is treated with respect and remains confidential.

    2. Legal compliance

      We may have to disclose your personal information:

      1. to the extent that we are required to do so by law;
      2. in connection with legal proceedings;
      3. in order to establish, exercise or defend our legal rights (including providing information to others for the purposes of fraud prevention and reducing credit risk);
      4. to the purchaser (or prospective purchaser) of any business or asset that we are (or are contemplating) selling;
      5. to any person who we reasonably believe may apply to a court or other competent authority for disclosure of that personal information where, in our reasonable opinion, such court or authority would be reasonably likely to order disclosure of that personal information.

      Except as provided in this policy, we will not provide your personal information to third parties.

  10. Retention of collected information

    Personal information (as described in Section 3) contained within your user account will be kept until the account is terminated. The corresponding data will then be deleted from our live data storage.

    Personal information (as described in Section 3) contained in our safety data backups will be deleted when the backup files are deleted notwithstanding the termination of the related account. Those backups have no reason of being accessed unless we need to recover lost or corrupted live data in the course of our normal business operations.

    Usage and context data (as described in Section 4) will be kept for as long as it serves a statistical purpose for Tylio.

    Notwithstanding the other provisions of this section, we will retain personal data:

    1. in the event where some personal data may be relevant to any ongoing or prospective legal proceedings;
    2. in order to establish, exercise or defend our legal rights.
  11. Security of your personal information
    1. Our commitment to protecting your privacy
      1. Tylio foregrounds the security of user’s personal data. We implement industry recognized security mechanisms, practices and controls to ensure its protection.
      2. We will take all reasonable technical and organizational precautions to prevent the loss, misuse or alteration of your personal information.
      3. All authenticated communications between you and our Products will be protected by modern encryption technology using SSL/TLS security certificates issued by a trusted authority.
    2. How you can help us protect your information

      We believe security is a process, not a product.

      Consequently, you have a big part to play in the protection of your own data. As for any other internet technology, some basic steps can go a long way in keeping your personal information secure:

      1. Choose a long password, ideally composed of many words (passphrase);
      2. Do not reuse passwords between applications. Make them unique;
      3. Change your passwords frequently;
      4. Use a password manager tool/software to help remembering you passwords and prevent having to write them down next to your computer;
      5. Log off your session when you are done using the Products;
      6. Make sure your browser displays a valid security context (green padlock) and especially no error;
      7. Do not log in to your most valuable services from untrusted public computers. They could well spy on you and record your keystrokes;
      8. Keep your password confidential; we will never ask you for your password via email or on the phone
  12. Amendments to this policy

    Please note that Tylio may modify its Privacy policy from time to time. Any changes or revisions will be effective immediately upon their posting on tylio.com.

    We may notify you of changes to this policy via the contact means you have provided us in your user profile.

  13. Your rights to your information

    You may request that Tylio gives you a copy of all personal information we hold about you.
